Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, booking systems, recordings, coaching, and related offerings provided by NorthStar Voice Studio (“NorthStar Voice Studio,” “we,” “us,” or “our”). By booking, purchasing, accessing, or using any service offered by NorthStar Voice Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. These Terms form a legally binding agreement between you and NorthStar Voice Studio. If you are using our services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
NorthStar Voice Studio is a voice-studio business located at NorthStar Voice Studio, 2450 Yonge Street, Toronto, ON M4P 2H3, Canada.
2. Scope of Services
NorthStar Voice Studio provides professional voice and audio services, which may include, without limitation:
- Voice-over recording;
- Vocal coaching;
- Audiobook narration sessions;
- Podcast voice production;
- Commercial demo recording;
- Script interpretation and delivery coaching;
- Related studio support, session planning, and post-session delivery of files as agreed.
Service descriptions, session lengths, deliverables, turnaround times, and pricing may be provided in booking confirmations, invoices, proposals, or written communications. Any such details are incorporated into these Terms to the extent they do not conflict with them.
We reserve the right to decline, suspend, or discontinue services where necessary for safety, legal compliance, technical limitations, inappropriate conduct, non-payment, or any other reasonable business reason.
3. User Obligations and Responsibilities
When using our services, you agree to:
- Provide accurate, current, and complete information when booking or communicating with us;
- Ensure that any scripts, materials, references, instructions, or content you provide do not infringe any third-party rights and comply with applicable law;
- Obtain all necessary permissions, licenses, releases, and consents for any content, voice usage, likeness usage, or distribution you request;
- Arrive on time for sessions and follow studio rules, safety instructions, and reasonable directions from our staff;
- Use our facilities and services in a respectful, lawful, and non-disruptive manner;
- Not bring illegal substances, weapons, or hazardous materials onto our premises;
- Not record, photograph, or livestream in the studio without our prior written consent;
- Not engage in harassment, discrimination, abusive behavior, or conduct that interferes with the operation of the studio;
- Pay all fees, taxes, and charges when due;
- Promptly notify us of any errors, concerns, or issues relating to a session or deliverable.
You are solely responsible for the content you supply and for any use you make of recordings, coaching materials, or deliverables after they are provided to you.
If you attend a session with minors or invite guests, you are responsible for their conduct and safety, and you must obtain any required consents.
4. Payment Terms and Conditions
All fees are set out in our pricing, invoice, booking confirmation, or written agreement. Unless otherwise stated, prices are in Canadian dollars (CAD) and are subject to applicable taxes, including GST/HST where required by law.
- Deposits: We may require a deposit or full prepayment to confirm a booking.
- Payment due date: Payment is due by the date stated on the invoice or booking confirmation. If no date is stated, payment is due immediately upon receipt of invoice.
- Late payments: Overdue amounts may be subject to interest at the maximum rate permitted by applicable law, together with reasonable collection costs.
- Chargebacks: You agree not to initiate a chargeback or payment dispute for services properly rendered. If you believe there is an error, you must contact us first to attempt resolution.
- Additional charges: Extra studio time, revisions, file exports, rush delivery, or special requests may incur additional fees.
We may suspend delivery of files, access to sessions, or future bookings until outstanding amounts are paid in full.
Any estimates provided are based on the information available at the time and may change if the scope of work changes, if the session extends beyond the booked time, or if additional services are requested.
5. Cancellation and Refund Policy
We understand that schedules change. Cancellations and rescheduling requests are subject to the following policy unless a different written agreement applies:
- Client cancellations: If you cancel a session, any deposit may be non-refundable to the extent permitted by law and may be applied to administrative and scheduling costs.
- Notice period: Cancellations or rescheduling requests should be made as early as possible. We may require a minimum notice period stated in your booking confirmation.
- Late cancellations / no-shows: If you cancel late or fail to appear, you may be charged the full session fee or a cancellation fee, subject to applicable law and the terms of your booking.
- Studio cancellations: If we must cancel or reschedule due to illness, emergency, equipment failure, safety concerns, or other operational reasons, we will use reasonable efforts to offer a new session time or issue a refund for the affected portion of prepaid fees.
- Refunds: Except where required by law or expressly stated in writing, fees for completed services are non-refundable. Refunds, if any, will be issued using the original payment method where practicable.
For coaching sessions, subjective dissatisfaction with style, performance, or artistic direction does not automatically entitle you to a refund if the session was delivered as booked. For recording services, revisions or retakes may be included only if expressly agreed in advance.
Any refund request must be submitted in writing with sufficient detail for us to review the matter. Nothing in this section limits any non-waivable rights you may have under applicable Canadian law.
6. Liability Limitations
To the fullest extent permitted by applicable law, NorthStar Voice Studio, its owners, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities arising out of or related to your use of our services.
To the fullest extent permitted by law, our total aggregate liability for any claim arising from or related to the services shall not exceed the amount you paid to NorthStar Voice Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $500, whichever is greater, unless a different limit is required by law.
We do not guarantee that any recording, coaching outcome, or deliverable will meet your subjective expectations, achieve commercial success, or be accepted by third parties, platforms, publishers, advertisers, or distributors.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot lawfully be excluded in Canada.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property owned by NorthStar Voice Studio, including studio methods, workflows, templates, materials, branding, and proprietary tools, remains our property or the property of our licensors.
Subject to full payment of all applicable fees and any separate written agreement, you are granted a limited, non-exclusive, non-transferable license to use the final deliverables we provide to you for the purpose for which they were commissioned.
You represent and warrant that any scripts, music, logos, trademarks, images, or other materials you provide are owned by you or properly licensed for the intended use. You agree to indemnify and hold harmless NorthStar Voice Studio from claims arising from your materials or your unauthorized use of third-party intellectual property.
Unless otherwise agreed in writing, we may retain copies of session files, recordings, and related materials for archival, quality, administrative, or legal purposes, subject to our privacy obligations and applicable law.
We may not use your final recordings, name, likeness, or project details in our portfolio, marketing, or social media without your prior written consent where such consent is required.
8. Data Protection and Privacy
NorthStar Voice Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy requirements.
We may collect personal information such as your name, contact details, billing information, booking history, session notes, and communications for purposes including:
- Providing and managing services;
- Processing payments and issuing invoices;
- Scheduling and customer support;
- Maintaining business records;
- Meeting legal, tax, and regulatory obligations;
- Improving our services and operations.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice we provide. If we use third-party service providers for payment processing, scheduling, file transfer, or communications, your information may be processed by those providers in accordance with their own terms and privacy practices.
If you provide us with personal information relating to another person, you represent that you have the authority and necessary consent to do so.
9. Force Majeure
NorthStar Voice Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet or telecommunications failures, equipment malfunction, labour disputes, illness, government action, public health emergencies, civil unrest, transportation disruptions, or other similar events.
If a force majeure event occurs, we may suspend or reschedule affected services for a reasonable period. We will use commercially reasonable efforts to minimize disruption and communicate with you regarding next steps.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be posted or otherwise made available to you and will be effective on the date specified in the revised version.
Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and, where applicable, cancel any future bookings in accordance with our cancellation policy.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of NorthStar Voice Studio shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory consumer protection rights or other non-waivable rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
If a provision is found unenforceable but would be enforceable if modified, the provision shall be enforced to the maximum extent permitted by law as modified to reflect the parties’ original intent.
